ORLANDO CREDIT UNION CONSENT TO RECEIVE DISCLOSURES ELECTRONICALLY

The following disclosures are required by the federal Electronic Signatures in Global and National Commerce Act ("ESIGN"). Acceptance is necessary prior to use of Online Banking or Mobile Banking; you can record your consent to the ESIGN and Online Banking and Mobile Banking disclosures by clicking "I Accept" below.

Your consent here does not automatically enroll you in eStatements. You must complete a separate enrollment to stop receiving paper account statements by U.S. Mail.

Electronic Delivery of Disclosures and Notices

In order to use Orlando Credit Union's Online Banking, Mobile Banking, and Bill Pay Products and to access, receive and retain the disclosures, notices, forms, etc. you must provide at your own expense an Internet connected device compatible with Orlando Credit Union's Online Banking, Mobile Banking, and Bill Pay Products. Your device must meet the minimum requirements outlined below.

System Requirements to Access Information

To receive an electronic copy of the disclosures, notices, terms and conditions, other documents, and forms you must have the following equipment and software:

In order to access and use Mobile Banking you must have a compatible and supported mobile phone served by a certified mobile carrier. The mobile device must be enabled to receive and transmit data, and must include texting functionality.

System Requirements to Retain Information

To retain a copy of the disclosures, notices, terms and conditions, other documents and forms, your device must have the ability to download and store PDF files.

Paper Delivery of Disclosures and Notices

You have the right to receive a paper copy of the disclosures, notices, terms and conditions, other documents, and forms. To receive a paper copy at no charge, please request it in one of the following manners:

Withdrawal of Electronic Acceptance of Disclosures and Notices

It is your responsibility to provide us with a true, accurate and complete e-mail address, contact, and other information related to your account. You agree to maintain and update information as necessary. ORLANDO CREDIT UNION ONLINE BANKING AND MOBILE BANKING AGREEMENT AND DISCLOSURE

Introduction

Orlando Credit Union endeavors to provide you with the highest quality Online Banking, Mobile Banking, and Bill Pay ("Services") available. By enrolling in the Services, you agree to all the terms and conditions contained in this Agreement and Disclosure (the "Agreement").

We may offer additional Online Banking, Mobile Banking, and Bill Pay services and features in the future. Any such added Online Banking, Mobile Banking, and Bill Pay services and features will be governed by this Agreement and by any terms and conditions provided to you at the time the new Online Banking or Mobile Banking service or feature is added and/or at the time of enrollment for the feature or service, if applicable.


From time to time, we may amend these terms and modify or cancel the Online Banking, Mobile Banking, or Bill Pay services we offer without notice, except as may be required by Law.

This Online Banking and Mobile Banking Agreement and Disclosure ("Agreement") describes your rights and obligations as a user of the Online Banking and Mobile Banking service or the Bill Payment service ("Services"). It also describes the rights and obligations of Orlando Credit Union ("Credit Union"). Please read this Agreement carefully. By requesting and using one of these Services, you agree to comply with the terms and conditions of this Agreement.

Supported Browsers

Your Online Banking pages are supported by most modern browsers. In order to ensure the best possible experience, please be sure you are using the most up to date versions of the browsers listed below. Your browser will need both JavaScript and cookies enabled to access and operate within the site.

If you are not using one of the supported browsers listed above, you may encounter issues within your online banking experience. We recommend switching to one of the supported browsers listed above in order to ensure you have an optimal Online Banking experience.

Your Responsibilities

You represent and agree to the following by enrolling for Online Banking, Mobile Banking, or Bill Pay Services or by using the Services:

Account Ownership / Accurate Information

You represent that you are the legal owner of the Accounts and other financial information which may be accessed via Online Banking, Mobile Banking, or Bill Pay. You represent and agree that all information you provide to us in connection with the Services is accurate, current and complete, and that you have the right to provide such information to us for the purpose of using the Services. You agree not to misrepresent your identity or your account information. You agree to keep your account information up to date and accurate. You represent that you are an authorized user of the Device you will use to access Online Banking, Mobile Banking, or Bill Pay.

User Security

You agree to take every reasonable precaution to ensure the safety, security and integrity of your account and transactions when using Online Banking, Mobile Banking, and Bill Pay. You agree not to leave your Device unattended while logged into Online Banking, Mobile Banking, and Bill Pay and to log off immediately at the completion of each access by you. You agree not to provide your Online Banking or Mobile Banking ID (Username), password or other access information to any unauthorized person. If you permit other persons to use your Device, login information, or other means to access Online Banking, Mobile Banking, and Bill Pay you are responsible for any transactions they authorize and we will not be liable for any damages resulting to you. You agree not to use any personally identifiable information when creating shortcuts to your Account.

We make no representation that any content or use of Online Banking, Mobile Banking, or Bill Pay is available for use in locations outside of the United States. Accessing Online Banking, Mobile Banking, and Bill Pay from locations outside of the United States is at your own risk.

User Conduct

You agree not to use Online Banking or Mobile Banking or the content or information delivered through Online Banking or Mobile Banking in any way that would: (a) infringe any third-party copyright, patent, trademark, trade secret or other proprietary rights or rights of privacy, including any rights in the Software; (b) be fraudulent or involve the sale of counterfeit or stolen items, including, but not limited to, use of Online Banking or Mobile Banking to impersonate another person or entity; (c) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (d) be false, misleading or inaccurate; (e) create liability for us or our affiliates or service providers, or cause us to lose (in whole or in part) the services of any of our service providers; (f) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (g) potentially be perceived as illegal, offensive or objectionable; (h) interfere with or disrupt computer networks connected to Online Banking or Mobile Banking; (i) interfere with or disrupt the use of Online Banking or Mobile Banking by any other user; or (j) use Online Banking or Mobile Banking in such a manner as to gain unauthorized entry or access to the computer systems of others.

No Commercial Use or Re-Sale

You agree that the Service is only for the personal or business use of individuals authorized to access your account information. You agree not to make any commercial use of Online Banking or Mobile Banking or resell, lease, rent or distribute access to Online Banking or Mobile Banking.

Indemnification

Unless caused by our intentional misconduct or gross negligence, you agree to indemnify, defend and hold harmless Orlando Credit Union, its affiliates, officers, directors, employees, consultants, agents, service providers, and licensors from any and all third party claims, liability, damages, expenses and costs (including, but not limited to, reasonable attorneys' fees) caused by or arising from (a) a third party claim, dispute, action, or allegation of infringement, misuse, or misappropriation based on information, data, files, or otherwise in connection with the Service; (b) your violation of any law or rights of a third party; or (c) your use, or use by a third party, of Online Banking and Mobile Banking.

Each of your accounts at Orlando Credit Union is also governed by our Membership Agreement and Important Disclosures and Truth-in-Savings Disclosures and Rates Schedule and Fee Schedule. In addition to this Online Banking Agreement and Disclosure, you agree to be bound by and will comply with the requirements of the applicable Membership Agreement and Important Disclosures, all applicable disclosures, the Credit Union's rules and regulations, and applicable State and Federal laws and regulations. We agree to be bound by them also.

Definitions:

Access to Services

To access your accounts Online, you must have a Credit Union account, a Username and a password. You will be given a temporary password for your use to log on for the first time. Upon logging in the first time, you will be required to create a new Username and password. You will use the new Username and password at the time of each subsequent login to Orlando Credit Union Online Banking or Mobile Banking.

You may change your password at any time by using the My Settings link within Online Banking. We recommend you change your password regularly. For security purposes, it is recommended that you memorize your password and do not write it down. You are responsible for keeping your Username, password, account numbers and other account data confidential.

You may access your Online Accounts 24 hours a day, seven (7) days a week. However, availability of the Services may be suspended for brief periods of time for purposes of maintenance, updating and revising the software. The terms of this Agreement apply whenever you use the Online Banking, Mobile Banking, or Bill Pay service to transact on your account.

The information regarding your account balances in Online and Mobile Banking including alerts are provided to you as a courtesy pursuant to your request. For Members that have filed a petition seeking bankruptcy protection under any chapter of the U.S. Bankruptcy Code, no demand for payment is hereby made, and the information provided is not to be construed as an attempt to collect or recover any claim or debt in violation of the provisions of 11 U.S.C. Section 362.

From time to time, we will announce additional services, which are available through our Online and Mobile Banking. Your use of these services will constitute acceptance of the terms and conditions present at the time they are announced.

We reserve the right to limit access or cancel on-line access at any time.

Mobile Banking Service

Mobile Banking allows you to access your Orlando Credit Union account information, make payments to payees, transfer funds and conduct other banking transactions. To utilize the Mobile Banking Service, you must be enrolled via Online Banking or our Mobile Banking app. We reserve the right to limit the types and number of accounts eligible and the right to refuse to make any transaction you request through Mobile Banking. We may also reserve the right to modify the scope of the Service at any time.

Mobile Banking may not be accessible or may have limited utility over some network carriers. In addition, the Service may not be supportable for all Devices. Orlando Credit Union cannot guarantee and is not responsible for the availability of data services provided by your mobile carrier, such as data outages or "out of range" issues.

In order to properly use Mobile Banking, you should review and follow the instructions provided on our website. You agree to accept responsibility for learning how to use Mobile Banking in accordance with the online instructions and agree that you will contact us directly at 407-835-3500 or 800-953-4567, option 0, if you have any problems with Mobile Banking. We may modify the Service from time to time at our sole discretion. In the event of any modifications, you are responsible for making sure you understand how to use Mobile Banking as modified. You also accept responsibility for making sure that you know how to properly use your Device and we will not be liable to you for any losses caused by your failure to properly use the Service or your Device.

You agree that, when you use Mobile Banking, you remain subject to the terms and conditions of your existing agreements with any unaffiliated service providers, including, but not limited to, your mobile service provider and that this Agreement does not amend or supersede any of those agreements. You understand that those agreements may provide for fees, limitations and restrictions which might impact your use of Mobile Banking (such as data usage or text messaging charges imposed on you by your mobile service provider for your use of or interaction with Mobile Banking), and you agree to be solely responsible for all such fees, limitations and restrictions. You agree that only your mobile service provider is responsible for its products and services. Accordingly, you agree to resolve any problems with your provider directly without involving us.

Password and Security

You agree not to give or make available your password or other means to access your account to any unauthorized individuals. You are responsible for all payments and transactions you authorize using the Orlando Credit Union Online Banking or Mobile Banking Service. If you permit other persons to use any Orlando Credit Union Online Banking or Mobile Banking Service or your password or other means to access your account, you are responsible for any transactions they authorize. If you believe that your password or other means to access your account has been lost or stolen, you must notify us at once by calling the Credit Union at 407-835-3500 or 800-953-4567, option 0.

Consent to Contact

You agree that we and/or our third-party debt collectors may contact you by telephone or text message at any telephone number associated with your account, including wireless telephone numbers (i.e. cell phone numbers) which could result in charges to you, in order to service your account, prevent fraud or collect any amounts owed to us, excluding any contacts for advertising and telemarketing purposes as prescribed by law. You further agree methods of contact may include use of pre-recorded or artificial voice messages, and / or use of an automatic dialing device. You may withdraw the consent to be contacted at your wireless telephone number(s) at any time by written notice to us at Orlando Credit Union, Attn: Member Services, 945 South Orange Avenue, Orlando, FL 32806, by email to [email protected], by telephone at 407-835-3500 or 800-953-4567, option 0, or by any other reasonable means. If you have provided or provide a wireless telephone number(s) to us in connection with your accounts, or any of them, you represent and agree you are the wireless subscriber or customary user with respect to the wireless telephone number(s) provided and have the authority to give this consent. Furthermore, you agree to notify us of any change to the wireless telephone number(s) which you provide to us. You agree to indemnify us and our third party debt collectors, and hold us and our third-party debt collectors harmless, from and against any and all losses, claims, damages, liabilities, costs or expenses (including any attorneys' fees) that arise out your breach of any of the foregoing representations and agreements.

Transfer of Funds

In addition to viewing account information, you may use Online Banking or Mobile Banking to conduct the transfer of funds. You may make one-time transfers or schedule future or recurring transfers such as transfers to make loan payments. You may transfer funds among your checking accounts, savings accounts and money market accounts.

NOTE: Because regulations require the Credit Union to limit preauthorized transfers (including Online Banking or Mobile Banking transfers), the following limitations apply:

Savings accounts - You can make no more than six (6) transfers per statement period by preauthorized or automatic transfer or by telephone or Online Banking or Mobile Banking.

Money Market accounts - You can make no more than six (6) transfers per statement period by preauthorized or automatic transfer or by telephone or Online Banking or Mobile Banking.

You must have sufficient funds available in the selected account at the time the transfer request is received, including any available overdraft protection. We may process transfers that exceed your available balance at our sole discretion. If we process the transfer and unless your overdraft protection is provided via an Overdraft Line of Credit, you agree to cover any overdraft amount plus any applicable fees.

Please note: If there are not sufficient funds in the account, we cannot complete this transfer. However, future recurring transfers will not be impacted.

We may also limit the type, frequency and amount of transfers for security purposes and may change or impose the limits without notice, at our option.

You agree to confirm the completion of each transfer in your account balance and transaction history before withdrawing transferred funds.

Additional Services - New services may be introduced for Online Banking from time to time. The Credit Union will notify you of the existence of these new services. By using these services when they become available, you agree to be bound by the rules that will be made available to you concerning these services.

Statements

You will continue to receive your regular account statement either monthly or quarterly, depending on the type of account unless you subsequently opt in to eStatements.

Use of Your Security Password

You are responsible for keeping your password and Online Banking or Mobile Banking Account information confidential. In order to protect yourself against fraud, you should adhere to the following guidelines:

Electronic Mail (E-mail)

If you send the Credit Union an e-mail message, the Credit Union will be deemed to have received it on the following business day. You should not rely on e-mail if you need to report an unauthorized transaction from one of your accounts or if you need to stop a payment that is scheduled to occur.

NOTE: E-mail transmissions outside of the Online Banking site are not secure. We advise you not to send us or ask for sensitive information such as account numbers, Password, account information, etc. via any general or public e-mail system. If you wish to contact us electronically, please use Secure Email under the Secure Forms tab in Online Banking to e-mail the Credit Union regarding inquiries about an electronic funds transfer error resolution, reporting unauthorized transactions, or contacting the Credit Union regarding other concerns of a confidential nature.

Liability

Our Liability - This section explains our liability to you only to the extent that any other agreements, notices or disclosures have not separately disclosed our liability. In no event shall we be liable to you for failure to provide access to your Online Banking, Mobile Banking, or Bill Pay services accounts. Unless otherwise required by applicable law, we are only responsible for performing the Online Banking, Mobile Banking, and Bill Payment services as delineated in this Agreement. We will be liable for the amount of any material losses or damages incurred by you and resulting directly from our gross negligence.

We will not be liable to you in the following instances:

IN NO EVENT SHALL WE HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM OR ARISING OUT OF THIS AGREEMENT.

Indemnification - You agree to indemnify, defend and hold us, our affiliate companies, directors, officers, employees and agents harmless against any third party claim, demand, suit, action or other proceeding and any expenses related to an Online Banking, Mobile Banking, or Bill Pay account.

Third Parties - We are not liable for any loss or liability resulting from any failure of your equipment or software, or that of an internet browser provider such as Microsoft Internet Explorer, Mozilla Firefox, Google Chrome, or Apple Safari, by an internet access provider, or by an online service provider, nor will we be liable for any direct, indirect, special or consequential damages resulting from your access to or failure to access an Online Banking, Mobile Banking, or Bill Pay account.

Virus Protection - The Credit Union is not responsible for any electronic virus or viruses that you may encounter. We suggest that you routinely scan your PC using a virus protection product. An undetected virus may corrupt and destroy your programs, files, and your hardware.

General Terms and Conditions

Credit Union Agreements - In addition to this Agreement, you and the Credit Union agree to be bound by and comply with the requirements of the agreements applicable to each of your Online Banking or Mobile Banking Accounts. Your use of the Online Banking Service, Mobile Banking, or the Bill Pay Service is your acknowledgment that you have received these agreements and intend to be bound by them. You should review other disclosures including the charges that may be imposed for electronic funds transfers or the right to make transfers listed in the fee schedules accompanying those disclosures and the fee schedule contained in this Agreement.

Assignment - We may assign this Agreement to an affiliate of the Credit Union or any successor in interest in the event of a merger, reorganization, change of control, acquisition or sale of all or substantially all assets of the business to which this Agreement is related without the other party's prior written consent.

Notices - Unless otherwise required by applicable law, any notice or written communication given pursuant to this Agreement may be sent to you electronically.

Disclosure of Information - We will only disclose information to third parties about your account or transfers you make under the following circumstances:

Changes and Modifications - The Credit Union may modify the terms and conditions applicable to the Services from time to time. We may send any notice to you via e-mail and you will have to be deemed to have received it three days after it is sent. The revised terms and conditions shall be effective at the earliest date allowed by applicable law. We reserve the right to terminate this Agreement and your use of the Services in whole or in part at any time without prior notice.

Term and Termination

Term. This Agreement will become effective on the Effective Date and shall remain in full force and effect until termination in accordance with the following provisions.

Termination for Cause. We may immediately terminate your electronic Banking privileges (including Online Banking, Mobile Banking, and the Bill Pay Service) without notice to you under the following circumstances:

We will promptly notify you if we terminate this Agreement or your use of the Services for any other reason.
